Your impact at MUFG

The function will be responsible for Corporate secretary tasks to the Management Board and Supervisory Board, in accordance with agreed standards and in adherence with all relevant internal and external regulatory/statutory requirements for MBE. As part of the Legal & Corporate Governance Division, the Corporate Secretary will also be contributing to the governance framework and providing regulatory, legal documentation and advisory service.

Functioning position

The Division reports to the Managing Board of MUFG Bank (Europe) N.V. and is required to oversee and manage the legal activities and safeguard the Corporate Governance within MUFG Bank (Europe) N.V. The Corporate Secretary reports into the Head of Legal and Governance and functionally into the CAF Pillar head. In addition this role will support the Corporate Governance of MUFG Securities (Europe) N.V. (MUS(EU)).

The role includes the following:

  • Keep abreast of changes in, specifically corporate law, regulations and market practice as it affects banking facilities and documentation produced by the Division and ensure such changes are taken into account as new documentation and legal forms are prepared;
  • Liaise with the EMEA CAF team to share expertise and knowledge and participate in EMEA legal team matters;
  • Provide support on miscellaneous matters across the European platform;
  • Timely reporting of matters as per regulatory requirements and ensure documentation service provided is efficient and cost effective;
  • Manage all management and MB/SB - and associated meeting logistics, attend and record minutes of the MB/SB board and associated meetings and facilitate board communications;
  • Facilitate the orientation of new board members and assist in board member training and development;
  • Maintain key corporate documents and records;
  • Monitor corporate governance developments and assist the boards in tailoring governance practices to meet the boards’ needs;
  • Serve as a focal point for communication and engagement on corporate governance issues;
  • All above responsibilities should be performed in compliance with the MUFG’s common & internal rules, standards, and reporting requirements, together with all relevant regulatory and statutory requirements, where appropriate implementing actions to protect MBE at all times;
  • Prepare assessments for second echelon, MB and SB members (and others) (‘toetsingen’) for the DNB and/or shareholder resolutions and act as point of contact in that respect; and
  • Identify, review and where appropriate implement improvements to processes / procedures / systems related to the role.

In order to be successful in the role, you will need the following:

Skills and experience:

  • The function requires a relevant Dutch Master’s law degree and experience working in financial institutions.
  • Good understanding of MUFG’s overall strategy and goals, structures, policies and culture together with a detailed knowledge and understanding of the MBE governance, policies, rules, guidelines and practices.
  • Possess a good knowledge and work experience of corporate laws and regulation.
  • In-depth knowledge of principles and practice of domestic law and regulatory rules.
  • Experience in networking and working with diverse population.
  • The function also requires knowledge of and experience with automated database storage and processing and desktop IT skills. The employee keeps his/her knowledge and skills up-to-date by reading internal bulletins regarding his/her area and by external or internal education.
  • Excellent interpersonal, time management, problem solving and organisational skills.
  • Accurate.
  • Flexible and pro-active attitude.
  • Advanced English and Dutch. Other language skills would be useful.

Additional information:

The role is based in the Netherlands. All candidates need to be willing to relocate to the Netherlands. Internal employees will be supported in case of relocation.
