Scope

Would you like to deploy your expertise in a young, energetic, and dynamic team? In this role, you can develop your knowledge of Dutch law and regulations and collaborate with and learn from experienced colleagues in various fields. Work with a tight team, ensuring high client satisfaction, solving complex questions, and providing a full range of corporate services. Spar with experienced legal team members, expand your knowledge, and grow together.

Key Responsibilities

• Review transactional documentation relating to (re)financings, acquisitions, mergers, restructurings, and other corporate matters.
• Identify potential legal or compliance issues, understand deal terms and implications, and translate into Vistra (transaction) clearance summary with follow-up actions if necessary.
• Prepare resolutions, agreements, power of attorney, and other documents related to legal transactions with clear coordination with involved law and service firms.
• Prepare legal documentation for the approval and adoption of financial statements and assist auditors.
• Identify legal and compliance risks concerning all client entities in the Vistra Corporates portfolio.
• Handle day-to-day management of client entities and corporate legal matters according to Dutch corporate law and regulations.
• Maintain corporate and compliance client files accurately, ensuring timely and accurate documentation.
• Ensure deadlines of statutory and corporate legal matters are met.
• Proactively identify any potential (Director's) liabilities.
• Maintain professional communication with clients, shareholders, advisors, and other relevant parties regarding legal matters.

Key Requirements

• Structured and detail-oriented with a focus on quality and client satisfaction.
• Excellent command of the English language, both verbal and written.
• Sound knowledge of Microsoft Office (Excel, Word, PowerPoint).
• Sound knowledge of Book 2 Dutch Civil Code and basic accounting knowledge.

• Experience working with international clients is beneficial.
• Completed Master in Law (Dutch Law with emphasis on company law, Notary law or Fiscal law).
