We have an exciting opportunity for you to join our team as Junior Legal Services Lawyer. Reporting to the Director of Department, this full-time and permanent position is based in Netherlands and offers regional coverage, allowing you to make a significant impact to our Operations Department and its’ growth.

Scope

Would you like to deploy your expertise in a young, energetic and dynamic family? In this role you can develop your knowledge of Dutch law and regulations in the broadest way possible and collaborate with and learn from experienced colleagues in a variety of fields.

In your day to day activities you will work with a tight team of Legals working on the same portfolio as you are, along with dedicated financials and relationship managers. You will work together to ensure high client satisfaction, solve complex questions and provide a full range of corporate services. In addition, you will be able to spar with experienced legal team members on other portfolio’s and expand your knowledge and grow together.

Key responsibilities

• Review transactional documentation relating to (re)financings, acquisitions, mergers, restructurings and other corporate matters;
• Identify, in relation to such transactions, potential legal or compliance issues, risks, understand deal terms and implications and translate into Vistra (transaction) clearance summary with follow up actions (if necessary);
• Prepare the resolutions, agreements, power of attorney and other documents related to legal transactions and coordination and clear coordination with involved law / accounting / audit / tax firms, notaries, Dutch chamber of commerce, etc.;
• Prepare the legal documentation for approval and adoption financial statements as well as assistance of auditor;
• Identify legal and compliance risks on an ongoing basis, concerning all client entities in the Vistra Corporates portfolio;
• Handle day-to-day management of client entities and corporate legal matters in accordance with Dutch corporate law and regulations;
• Corporate and compliance client files are being maintained properly, through timely and accurate drafted, reviewed and revised corporate legal documentation;
• Ensure, together with your colleagues, that deadlines of statutory / corporate legal matters are met;
• Proactively identify any potential (Director's) liabilities;
• Proactive and professional (verbal and written) communication with clients, shareholders, advisors and other relevant parties concerning legal matters;

Key requirements

• Structured, detail-oriented person, with a high focus on quality and client satisfaction;
• Excellent command of the and English language, verbal and written;
• Sound knowledge of Microsoft Office (Excel, Word, PowerPoint);
• Sound knowledge of Book 2 Dutch Civil Code and basic accounting knowledge;

• Minimum 1 years relevant experiences in providing Legal support in a Corporate environment;
• Experience in working with (international) clients is beneficial;
• Completed Master in Law (Dutch Law with emphasis on company law, Notary law or Fiscal law).
