Would you like to deploy your expertise in a young, energetic, fast-paced family? Vistra is looking to recruit a Medior Legal Services Lawyer for our largest Private Equity client portfolio.

Scope

You will report into the Director Relationship Manager Private Equity and provide a full range of legal advice and services.

In your day-to-day activities, you will work with a tight team of Legal, along with dedicated financials and relationship managers. You will work together to ensure high client satisfaction, solve complex questions, and provide a full range of corporate services for your client entities. In addition, you will be able to spar with experienced legal professionals on other portfolios and expand your knowledge and grow together.

Key Responsibilities

• Prepare and/or review resolutions, agreements, POAs, and other documents related to legal transactions, and coordinate with third-party service providers;
• Coordinate, review, and prepare the legal documentation for approval and adoption of financial statements as well as coordinate assistance of auditor;
• Identify compliance risks;
• Handle daily management of client entities and corporate legal matters under supervision of a manager or Senior Legal Services Lawyer and in accordance with Dutch corporate law and regulations;
• Ensure client files are maintained properly through timely and accurate drafting, reviewing, and revising of corporate legal documentation;
• Provide timely and accurate administration and coordination of deadlines of corporate legal matters in cooperation with Senior Legal Services Lawyer or manager;
• Identify the legal and fiscal aspects, queries, and problems of client structures and proposed transactions; consult with third parties for advice if needed;
• Proactively identify any potential (Director's) liabilities;
• Ensure proactive and professional (verbal and written) communication with clients, shareholders, advisors, and other relevant parties concerning legal matters;
• Build and manage professional business relationships with clients.

Key Requirements

• Structured, detail-oriented person with a high focus on quality and client satisfaction;
• Excellent command of the English language, verbal and written;
• Sound knowledge of Microsoft Office (Excel, Word, PowerPoint);
• Basic knowledge of Book 2 Dutch Civil Code and basic accounting knowledge;
• 2-4 years of relevant experience;
• Experience in providing legal support in a Corporate environment;
• Experience in managing and advising (international) clients;
• Completed Bachelor and/or Master in Law (preferably Dutch Law with emphasis on company law, Notary law, or Fiscal law).
