Company Secretarial role within LSEG Markets

Our Team

The Company Secretarial Department supports the Boards of London Stock Exchange Group plc ("LSEG plc") and its 300 subsidiaries (the "Group") and advises on corporate governance matters and companies’ laws globally.

The team owns the legal entity Corporate Governance agenda, ensuring group companies meet good corporate governance requirements set out in legislation and relevant guidance.

Working with colleagues in Compliance, Finance, HR, Legal, Risk and Tax, the team ensures that the Group follows local companies’ laws and statutory filing requirements.

The department proactively provides both operational day-to-day advice and guidance as well as leading the implementation of corporate governance requirements to ensure compliance with relevant legislation, regulatory requirements including requirements applicable to LSEG as a listed company, governance guidelines and the effective delivery of the Company Secretarial Department agenda.

Main Partner groups include: Chairs, Non-Executive Directors, Executive Directors, Compliance, Finance, Internal Audit, HR, Legal, Risk and Tax.

The Company Secretarial team is a small, close knit team made up of 16 members located in UK, China, Singapore, France, Italy, Romania, Switzerland and US.

The Role

Reporting to the Head of Company Secretariat, LSEG Markets, this role will contribute to the LSEG Company Secretary Team’s directive to ensure that the implementation of corporate governance requirements are met and that appropriate legal and statutory compliance is maintained for the Group.

This role will help ensure the highest quality of company secretarial and governance support is provided to a portfolio of subsidiaries and will involve working closely with and supporting a number of regulated Boards and Senior Management. In addition, the role will work with and support other colleagues within the Company Secretariat team.

This position would be ideal for a committed Company Secretarial professional who is looking to challenge themselves within a driven and friendly team environment.

Key Responsibilities

  • Supporting the Head of Company Secretariat, LSEG Markets in the provision of high quality company secretarial and governance services to the LSEG Markets division, including regulated companies.
  • Handling the efficient and effective secretarial and administrative service to a portfolio of subsidiaries including scheduling meetings, drafting agendas, preparing board packs, attendance at meetings, taking minutes at meetings, and following up on actions.
  • Handling statutory administration of subsidiaries including maintaining statutory records, responsibility for appropriate filings with relevant business registry and updating the Group’s database (GEMs) with any changes.
  • Handling the on-boarding, induction and annual programme of director training for a portfolio of regulated subsidiaries including supplying relevant induction materials, supporting regulatory notifications where required, ensuring conflicts of interests are up to date, and scheduling induction meetings and director training sessions.
  • Handling the year end statutory accounts process for subsidiaries within their portfolio including the review of subsidiary accounts and financial documentation as needed throughout the year.
  • Record keeping and responding to legal, regulatory and other external information requests, second line reviews and internal audit.
  • Collaborating closely with external advisers such as lawyers and auditors.
  • Supporting on a range of governance projects as required.

  • Able to work well with other departments and develop good working relationships across the business at all levels.
  • A university degree or equivalent.
  • ACG and/or appropriate experience in a company secretary’s department, ideally within financial services.
  • IT skills, Word, Excel, GEMs and Diligent.
