M&A Integration & Disentanglement Program Leader at Philips

Job Description

The Integration and Disentanglement Leader is responsible for managing the execution of integration and separation processes across multiple locations, ensuring effective coordination and successful outcomes. The role negotiates transitional service agreements, acts as the key liaison between M&A experts and acquired or divested entities, and works with senior management to refine strategic objectives. The role directs the integration and disentanglement of technology systems, provides ongoing post-disentanglement support, and shares best practices to drive continuous improvement. The role develops comprehensive plans and ensures compliance with legal and regulatory standards.

In Your Role You Will Be:

  • Supporting the setting up & resourcing the Disentanglement and Integration project structure (including external advisors) and managing expert teams for all functions and market/country teams involved.
  • Responsible for delivery of the disentanglement strategy (Separation Memorandum) and integration strategy (Platinum) and project execution.
  • Member of the divestment/acquisitions deal-team to support realization of a transaction in all its facets.
  • Managing disentanglement & integration budgets, data room activities (divestments) including Planisware tool.
  • Within the broader Strategy and M&A team, support M&A Due Diligence efforts or advise on Strategy Projects where applicable.
  • Ensuring the granular planning and execution of the value creation among work streams.
  • Ensuring value creation and business objectives of the acquired targets together with the business clusters.
  • Supporting and coaching the Business Disentanglement Lead on disentanglement objectives and leveraging the Philips organization.
  • Supporting and coaching the Business Integration Leader in PMI methodology used to define and deliver post-merger integration strategy for the RFA.
  • Supporting aftercare of a divestment and negotiation of (transitional) service agreements.
  • Supporting aftercare of the acquired business and identification of additional value creation opportunities.
  • Act as an intermediary between the M&A Functional Experts and the divested/acquired business and sector, country, and corporate functions.
  • Driving and leading the activities aimed at delivering continuous improvement across the projects.
  • Contributing to the M&A Disentanglement and Integration Competence Centre by sharing experiences, best practices and lessons learned.

You're the right fit if:

Minimum 8 years of experience with Bachelor's OR Minimum 6 years of experience with Master's in areas such as Integration Planning, Due Diligence, Deal Structuring, Project Management or equivalent. In more detail:

  • Master’s degree, MBA, or other post graduate work or relevant work experience required.
  • Experience with disentanglements and/or post-merger integrations.
  • Experienced project leader, successfully managed multiple projects in varying stages at the same time, who is capable of operating on senior management levels.
  • Drive for results, stress resistant, and focus to get the deal done.
  • Deliver in a disciplined manner the project as per agreed time-lines while being able to identify critical issues in all functions and negotiate & deal with all experts involved to resolve the matter.
  • Willingness to travel (project dependent; average over a year 5-10%); willingness to have flexible work schedule depending on project geography (early morning/late evenings etc.)
  • Strong team player with a pragmatic approach and good communication and negotiation skills.
  • Strong analytical, problem solving and troubleshooting skills.
  • Strong personal presence and awareness; must be able to operate up to three levels above and below current grade level.
  • Ability to make decisions within uncertainty.
  • Ability to work both independently and in remote project team setting.
  • Strong business acumen.

How we work together

We believe that we are better together than apart. For our office-based teams, this means working in-person at least 3 days per week. Onsite roles require full-time presence in the company’s facilities.​ Field roles are most effectively done outside of the company’s main facilities, generally at the customers’ or suppliers’ locations.​
