Context

The Legal Counsel will engage with the various legal aspects of the business within the division Damen Offshore and Specialized Vessels (hereinafter: OSV) and will advise the internal organization. These aspects relate to amongst others (international) contract law, claims, securities, intellectual property and compliance. The Legal Counsel is a point of contact for the management team and the business and is a representative of OSV towards internal stakeholders and external parties.

Profile

• Masters of law degree, preferably in contract law
• 5 to 10 years’ experience as in-house company lawyer or at a law/consultancy firm
• In-depth knowledge and experience of contract law
• Experience with shipbuilding / maritime industry is an advantage
• Experience with claims & litigation
• Experience with (public) tender procedures
• Both team player and able to work independently (self-managing)
• Responsible, accurate and quality-oriented
• Pro-active and taking initiative
• Strong (intercultural) communication and negotiation skills
• Solution-oriented, ability to translate theory into a practical approach for the business
• Excellent command of the Dutch and English language in writing and speaking
• Ability to frequently travel and work abroad all over the world

Key responsibilities and accountabilities

• Provide advice and support to the business on various legal aspects
• Support the sales and division teams during tender procedures or direct sales offers and negotiations: review of tender documentation on legal aspects, review or draft contracts, align contracts with appendices, ensure consistency of main contracts with terms and conditions of subcontracts, prepare legal reports
• Ensure compliance within the division with company policies and applicable laws and regulations and advise management on legal implications of changes
• Assist the business (project teams and management team) with claims and litigation procedures, review progress thereof and liaise with and manage external lawyers/advisors
• Negotiate, review and/or draft documentation for (general) business transactions and prepare and advise the management of the division
• Prepare, review and modify contractual instruments (standards, procedures, tools) to assist and support various business activities and create awareness
• Interact actively within the Damen Group with other disciplines such as design & planning, corporate legal and legal within other divisions, compliance, contract management, finance, risk and insurance
