Will you strengthen the TNO High Tech Industry team and ensure that contractual matters during the execution of complex projects are effectively managed and negotiated?
The Commercial Contract Manager is part of the Operations department of TNO High Tech Industry. You are responsible for contract management during both project preparation and execution, with particular focus on commercial risks, contractual agreements, and their practical implementation. In this role, you support business developers and project teams in drafting proposals, negotiating contracts, and executing projects characterized by a high degree of complexity and/or significant risk.
You will work with major national and international clients, particularly in the Space sector. In addition to the commercial industry leaders that TNO collaborates with, the European Space Agency (ESA) will also be an important account. This requires strong negotiation skills. You will also serve as a sounding board and advisor to project managers and TNO HTI management. Maintaining a balance between commercial objectives, project and technical considerations, and risk management is essential.
For this specific vacancy, we are looking for someone with extensive experience in reviewing and monitoring agreements and supporting projects in an R&D environment. You thoroughly understand contractual terms, identify commercial and operational risks, and translate these into concrete points of attention for the project team. You work closely with TNO's Legal Counsels, who are responsible for providing specialized legal advice and drafting or reviewing agreements from a legal perspective.
Your role focuses on commercial and operational contract management: you provide input during the creation of agreements, translate contractual obligations into day-to-day project practices, monitor commercial risks, and intervene promptly and effectively when project execution threatens to deviate from the agreed framework. In doing so, you continuously keep the project team alert to the contractual boundaries of the project. Questions you may address include: Are we delivering more than agreed? Are we delivering something different? Is there a force majeure situation? Are intellectual property arrangements being properly respected? Is a contract amendment required?
A legal qualification is not an absolute requirement; however, given the nature of the work within TNO, an affinity with contract law, intellectual property law, and/or state aid and subsidy regulations is considered an advantage. Experience with project structures, project-based working methods, and technical knowledge are also advantageous. The role requires a curious and eager-to-learn professional who can operate effectively and efficiently across a wide variety of projects. Excellent command of the English language is essential, as contracts are often drafted in English and many negotiations are conducted in English as well.
