Job Description
The Global M&A team is located in Amsterdam and has global responsibility for all Philips M&A-related activities. The team consists of top-level M&A specialists with wide-ranging backgrounds, nationalities, and competencies. You are expected to work three days a week in our office. Occasional travel and flexibility with regard to working hours are expected, as workload fluctuates and projects span global time zones.
Your role:
1. Integration & Carve-Out Execution
- Lead integration and disentanglement programs across the transaction lifecycle, including sign-to-close preparation, Day-1 readiness, stabilization, and TSA execution and exit.
- Translate deal objectives, synergy assumptions, and separation logic into integrated execution plans and realistic timelines.
- Monitor delivery progress, dependencies, and risks across multiple concurrent initiatives.
2. Governance & Decision Support
- Establish and run appropriate program governance, including steering committees and workstream oversight.
- Support timely and well-informed decision making by senior management through structured analysis, clear options, and execution-focused recommendations.
- Escalate material risks, trade-offs, and execution issues where required.
3. Resource & Project Leadership
- Mobilize and coordinate cross-functional teams across Finance, IT, HR, Supply Chain, Legal, Commercial, and other functions.
- Ensure programs are adequately resourced using a mix of internal capabilities and external advisors.
- Provide direction and coaching to workstream leads to drive consistent execution quality.
4. Execution Risk & Value Protection
- Identify key execution risks early and drive mitigation actions to avoid disruption or value leakage.
- Safeguard continuity of operations during Day-1 transitions and subsequent separation or integration phases.
- Track execution against agreed assumptions and budgets.
5. Stakeholder Management
- Act as a central coordination point between Business leaders, Functional teams, Markets, and external advisors.
- Manage complex stakeholder interfaces and resolve execution issues across organizational boundaries.
- Communicate clearly and credibly with senior stakeholders on progress, risks, and required actions.
6. Continuous Improvement
- Capture lessons learned from completed transactions and contribute to continuous improvement of integration and disentanglement practices.
- Support the development of consistent standards, templates, and ways of working within the central PMI capability.
7. Stakeholder Interaction
- Regular interaction with senior Business and Functional leadership.
- Exposure to executive-level discussions on transaction execution progress and risks.
- Close collaboration with external advisors, with responsibility for directing and integrating their work into the overall program.

Experience Requirements
- Significant experience in post-merger integration, carve-outs, or complex transformation programs, gained in a corporate M&A, consulting, or transaction advisory environment.
- Proven ability to lead large, cross-functional programs in complex and time-critical situations.
- Solid understanding of M&A transactions and the operational implications of integrations and separations.
- Experience working with senior leadership and navigating decision making in large organizations.
