Your new work environment
As Paralegal, you will be joining our Company Secretariat and Corporate Legal Affairs Team. This is a team that is involved in providing company secretarial and corporate legal support to the Ahold Delhaize organization.

The main areas of work in the Company Secretariat and Corporate Legal Affairs Team are covered by dedicated teams, each with their own expertise: Company Secretariat, Corporate Legal Affairs (which includes general corporate law, corporate governance and corporate finance matters); and Intellectual Property. Cooperating closely with all disciplines in the company, both locally and globally, this department is involved in virtually every aspect of the business that has a corporate legal component. Key responsibilities of your role

Provide support on corporate legal matters, general corporate contracting, (internal) policies and any other related legal areas as may be required from time to time.

  • Assist with corporate housekeeping activities, including the review, execution, and arranging notarization of corporate legal documents, maintaining and updating of corporate records, and filing of documents.
  • Support the preparation and filing of annual and quarterly corporate documents (e.g., certificates of good standing, 403 declarations, ultimate beneficial owner (UBO) registrations).
  • Provide assistance with ad hoc corporate legal queries and corporate projects.
  • Manage the contract lifecycle, including drafting and reviewing of agreements, and ensuring that all agreements are accurately maintained and accessible.
  • Support with the execution and monitoring of internal corporate controls to support compliance with company policies.
  • Monitor and maintain corporate legal mailboxes, ensuring timely and accurate distribution and follow-up of legal correspondence.
  • Support the completion of know your client (KYC) and LEI requests.
  • Liaise with internal stakeholders and external advisors.

Provide support on company secretarial matters.

  • Providing support in the preparation of Management Board (MB), Executive Committee (ExCo) and Supervisory Board (SB) meetings:
    • Providing support in the preparation and design of the annual corporate calendar.
    • Preparing and maintaining annual rolling agendas for MB, ExCo, SB and Committees.
    • Building and preparing meeting agendas and meeting binders (Diligent board books).
    • Manage engagement with internal stakeholders on submission deadlines and submissions.
    • Preparing and maintaining an agenda analysis of the MB, ExCo and SB and Committee agendas.
    • Preparing and distribution of decision extracts.
    • Preparing and maintaining meeting attendance overviews.
  • Providing support in the organization of the annual general meeting of shareholders (AGM) (and extraordinary general meetings (EGMs)):
    • Providing support in the preparation of meeting materials.
    • Prepare updates to different stakeholders.
    • Providing support to the logistics team.
    • Attend and support on site of the AGM (and EGMs).
  • Preparing annual questionnaires for the evaluation of the internal- and external auditors, Directors and Officers, evaluation and assessment of the MB, ExCo, SB and Committees.
  • Interact with management and other associates to answer routine questions and concerns.
  • Gather information, support, prepare materials, analyze information, and coordinate responses in connection with audits.
  • Additional job duties may be assigned as needed to meet the needs of the business and support our Values.

Requirements

  • 2-4 years of Paralegal experience
  • Intermediate Microsoft Office skills (Word, Excel, and PowerPoint)
  • Fluent verbal and written communication skills in both Dutch and English
