Your mission, should you choose to accept it

As a Legal Counsel within TSH, you will provide legal support to the company’s operations across 8 different European jurisdictions. The role involves reviewing complex, strategic (real estate focussed) agreements, managing litigation and external counsels, conducting legal research, and cooperating with all members of the legal team on various legal tasks.

While your main focus will be working on development matters (existing developments, new developments, litigation, etc.) and asset management matters (leases, management agreements, supplier contracts, etc.), you shall also be involved in operational matters, finance matters, and corporate matters at TSH. This will make your day-to-day work diverse, and every day will be different!

Because of our rapid international expansion and ambitious growth plans, we’ve got more going on than just the day-to-day legal business you would expect at a real estate developer or a hotel operator. The TSH legal department is responsible for all legal and compliance affairs, including taking care of legal matters related to the acquisition and development of our new locations, obtaining and maintaining their financing, ensuring compliance, and corporate housekeeping are on point, but also facilitating the operational and commercial success of our hotels and our brand.

What You’ll Do

  • Support the Senior Legal Counsel Real Estate and the Real Estate team with the drafting, negotiating, and reviewing of development agreements (i.e., Design & Build Agreements, Construction Agreements, FF&E Agreements, Advisor Agreements) and real estate-related operational agreements (i.e., Lease Agreements and Management Agreements) as well as with technical asset management questions, leasehold, permits, and relationships with third parties.
  • Manage litigation across Europe (together with our external counsels).
  • Support the Investment Team with the drafting, negotiating, and reviewing of transaction documentation (i.e., Letters of Intent, SPAs, etc).
  • Support the Senior Legal Counsel Operations and Operations team with the drafting, negotiating, and reviewing of operational agreements of all kinds of nature and amounts (company material IT contracts, supplier agreements, and everything in between).
  • Support with finance and corporate matters within TSH.
  • Optimize the cooperation processes within TSH by preparing Standard Operating Procedures and Templates.

Who You Are

  • Master's law degree.
  • Minimum 4 years' relevant real estate legal experience, as a lawyer or as an in-house legal counsel, preferably in an international setting.
  • Strong skills in drafting and reviewing development, lease, and other commercial agreements.
  • Stress resistant; maintains control and overview of complex projects within tight deadlines.
  • You are proactive and have a hands-on and a problem-solving attitude.
  • You enjoy being a sparring partner, having a seat at the table by making sure to have a good understanding of risks (legally but also commercially) and finding ways to mitigate them.
  • You like to forge a well-grounded opinion and are not afraid to challenge and to be challenged.
  • You enjoy getting the best from our legal advisors while sticking to tight and realistic budgets.
  • Excellent spoken and written (business) English skills. Dutch, German, Spanish, French, or Italian language skills are a nice extra.
  • You're eligible to work in The Netherlands.
  • Strong interpersonal and communication skills, able to persuade others internally as well as externally whilst keeping cross-cultural awareness and sensitivity in mind.
  • This is a full-time job and sometimes requires working flexible hours (but with a healthy work-life balance).
  • Willingness to travel to be able to understand the different projects of TSH throughout Europe.
