We are looking for an enthusiastic and business-savvy legal professional, based in Hoofddorp, the Netherlands, who will provide pragmatic legal support on all M&A related work. The M&A Counsel is a member of the Global Legal team, reporting to the General Counsel, as well as the Global M&A team. The Global M&A team is responsible for all M&A transactions within Barentz.

The Global M&A team consists of two highly motivated team members with the objective to advise the Barentz senior leadership team and supervisory board on inorganic and strategic decisions, and to bring complex and intellectually challenging transactions to successful completion. Together, you will contribute to delivering on Barentz’s strategic objectives by executing value-accreting transactions to further expand our geographical and strategic footprint, complement our product portfolio, and increase scale.

Role description

• Responsible position within the legal and M&A team that is, together with internal stakeholders, driving Barentz’s buy-and-build strategy on a global scale.
• Provide legal support and drive the legal aspects of acquisitions, joint ventures, corporate structuring, and post-acquisition integration.
• Provide occasional legal advice and support on certain commercial matters, including drafting, reviewing, and negotiating contracts, alongside M&A-related activities.
• Ensure compliance with internal policies and act proactively to minimize liabilities.

About You

Your experience and knowledge

• Master’s degree in law, preferably from a Dutch University.
• 7–8 years of legal experience, including at least 3 years as in-house counsel.
• Specialised in corporate law and (international) M&A (e.g., managing due diligence, reviewing, drafting, and negotiating transaction documentation) and experience with finance.
• Some experience with commercial contracting, including drafting, reviewing, and negotiating a broad range of commercial agreements.
• Fluent in English and Dutch (written and verbal).
