DWF is seeking to recruit a Junior Counsel/Solicitor to work within its Group Legal team to be based in our Liverpool, Manchester or London offices.

The Group Legal team and the role:

The firm wishes to recruit a Junior Counsel/Solicitor with around 2 years + PQE to work within its Group Legal team.

The team provides advice and support to the firm, advising and working with the firm's senior management at both Board and Partnership levels, members of the Central Services team and fee earners. The team also instructs and liaises with external suppliers to the firm (such as the firm's external accountants, tax advisers and trade mark agents).

The role is to assist the wider Group Legal Team with a range of commercial and corporate matters affecting the business and its group. These will include matters affecting the structure of the group, mergers and acquisitions, regulatory requirements, dealings with third party service providers, suppliers, clients and prospective clients.

A proactive and commercial approach to business is important in this role, as is a desire to work at the heart of DWF.

The successful candidate will see the bigger picture but not at the expense of the important detail, and will be able to prioritise work in what can often be a fast paced and changing environment. The position will suit a reasonably robust and assertive individual, who is good at developing relationships and comfortable working both independently and collaboratively. The successful candidate will be exposed to interesting and varied work within a supportive team and have a real opportunity to play a role in the future development of the group.

Main Duties:

  • Drafting and negotiating a broad range of commercial and corporate contracts relating to the internal and external dealings of the group, including service, supply and outsourcing contracts (such as with IT, telephony, software, catering, cleaning and reprographics providers), non-disclosure agreements, terms and conditions of contract, panel agreements, referral agreements, consultancy and secondment agreements.
  • Assisting with the provision of corporate and governance advice.
  • Assisting on the firm's mergers and acquisitions, including due diligence, and drafting heads of terms, merger and acquisition agreements and ancillary documents.
  • Assisting with the establishment of new branches and offices of the group in overseas jurisdictions, including the application for regulatory licences and approvals, the preparation of local terms of business and instructing and liaising with local counsel.
  • Ensuring all work carried out is in compliance with the legal regulatory framework (SRA, etc.) by building strong relationships with members of the firm's Risk Management and Excellence team and becoming conversant with the regulatory and governance requirements affecting the group.
  • Assisting with post-merger integration matters (e.g. procurement and contract matters), especially during the group's current period of growth.
  • Providing to the group's client bid and tender processes e.g. reviewing client contracts at bid stage.
  • Assisting the Procurement and IT Teams with their tender and selection processes, and engagement with third party suppliers/service providers.
  • Promoting best practice and consistency across the firm by formulating precedent documentation.
  • Adopting a forward thinking approach to the drafting and negotiation of all contracts so as to ensure (to the extent possible) they are "future-proofed".
  • Handling trade mark related matters affecting the firm and liaising with external experts.
  • Seeking a sensible balance between the commercial benefits of taking a particular course and protecting DWF’s best interests and minimising/mitigating exposure to risk. Undertaking legal research and providing legal opinions.
  • Assisting with UK Listing Authority compliance across the DWF Group, working closely with the Group Counsel and Company Secretary.
  • Assisting both international and Connected Services stakeholders with a variety of commercial and regulatory matters.

The above is not an exhaustive list, and the successful candidate will be expected to perform different and additional tasks as necessitated by the overall objectives of the DWF as a growing and changing business.
