You will serve as IMCD’s Group Legal Counsel, located in Rotterdam. You will work as part of a dedicated legal department, consisting of 3 lawyers of which 2 are based in IMCD’s head office in Rotterdam and 1 is based in the US. Your primary role will be to provide broad legal support to Group matters, including mergers and acquisitions and business development, and mostly internationally, assist the IMCD business units in contracting with partners. In addition, you will be supporting the Group compliance program.

Expected Qualification/Education: Master in Law degree with excellent academic results. Additional degrees (e.g., LLMs) in a specialized area of law is an advantage.

Work Experience: approximately 5-8 years of work experience in a reputable and internationally oriented law firm or equivalent in-house counsel experience. Experience in the chemical or food ingredients industry is an advantage.

Primary Job Location: Rotterdam, the Netherlands.

Reporting to: General Counsel IMCD N.V. (the Netherlands).

 The Position is responsible for:

• Providing day-to-day legal advice and support to business units with an emphasis on the EMEA and Asia-Pacific region
• Drafting and interpreting contracts in alignment with the commercial teams, offering counsel on a myriad of commercial laws, including antitrust and export control laws, and providing advice on sales, purchasing, distribution, supply chain, HR/labor law and other legal matters in relation to the business assisting with and coordination of M&A and capital markets transactions
• Keeping the Group and local contract policies and contract management processes up to date and supervising the effective use of these policies and processes in the regional organizations
• Assisting in the development, drafting and implementation of standardized contracts, procedures and policies
• Assisting, when necessary, with litigation and/or HR legal matters requiring support.
• Working on governance and regulatory matters 
• Overseeing the dissemination and communication of IMCD’s Code of Conduct and Business Principles, assist with training on the Code, and investigate ethics-related issues
• Performing other related duties as may assigned from time to time.

Skills & Capabilities

• Strong legal knowledge in the field of commercial, distribution and agency law is essential;
• Legal experience with mergers and acquisitions, including due diligence;
• Proven experience in drafting and negotiating contracts in a commercial setting;
• Knowledge or experience in working in a chemical manufacturing or distribution environment is an asset;
• Ability to work autonomously;
• Possessing a high level of integrity with a good eye for compliance challenges;
• Excellent written and verbal communication skills;
• Knowledge of Microsoft Word, Excel and PowerPoint;
• Fluent in English and good understanding of Dutch;
• EU work permit/right to work is essential.

Travel: Must have the flexibility to travel internationally as required.
