These Purchase Terms set out the terms governing the purchase and consequently supply of Products & Services by Magnet.me.
The Products & Services are provided by Magnet.me ("Magnet.me").
If the Client resides in the United Kingdom, the Products & Services are provided by Magnet.me Ltd. whose registered office is at 501 The Pillbox, 115 Coventry Road, London E2 6GG, registered under company number 09512507 and VAT-number 228 7358 80.
If the Client resides in the Netherlands or any other part of the world, the Products & Services are provided by Magnet.me NL B.V. whose registered office is at Goudsesingel 200, Rotterdam, registered under company number 63642328 and VAT-number NL.8553.29.993B.01.

The client identified in the Order Overview who purchases the Products & Services from Magnet.me. In case the Client is an agency representing a client to use Magnet.me, "Client" may in certain clauses also refer to the client of the agency. |

Company spotlight email |
An email tailored by Magnet.me with content about the Client sent to a, by the Client specified, number of Members. The concerning email is drawn up and sent by mutual agreement when it has been approved by the Client. |

Continuous outsourced messaging |
If indicated in the Order Overview, Magnet.me will, on a weekly basis, send out messages to up to ten (10) Members per week on behalf of the Client to promote a Job to be specified by the Client. |

Employer branding slot |
Up to 1,000,000 impressions of the Client's company name and/or company logo, through marketing channels to be determined, both online and offline, on Magnet.me and beyond. |

Job sync |
If indicated in the Order Overview, Magnet.me will consult a website (or url) specified by the Client at least once every two weeks and subsequently post the vacancies and / or (career) events on that website (or url) on the Website. |

Magnet.me basics |
If specified in the Order Overview, the Customer hereby gains access to certain features and/or tools associated with the Organization Page, including but not limited to the ability to add one or more photos, one or more testimonials, a video, and frequently asked questions. |

Office photos |
If indicated in the Order Overview, Magnet.me will hire a photographer who, in consultation with the Client, will take photographs ("Office Photos") of the Client's office and will then upload a selection of maximum fifteen (15) photographs taken by to the Client's Organisation page. The intellectual property of the Office Photos is explicitly not transferred to the Client, but the Client is allowed to use the Office Photos for social media or her own website. The Client is not allowed to use Office Photos for marketing purposes, such as for print or advertisements, without the explicit permission from Magnet.me. |

Office video |
If indicated in the Order Overview, Magnet.me will hire a film production team who, in consultation with the Client, will make a video ("Office Video") of the Client's office and will then upload it to the Client's Organisation page. The intellectual property of the Office Video is explicitly not transferred to the Client, but the Client is allowed to use the Office Video for social media or her own website. The Client is not allowed to use the Office Video for marketing purposes without the explicit permission from Magnet.me. |

Outsourced messaging credit |
A credit that gives the right to send messages, or have them sent, via the Website to up to thirty (30) Members on behalf of the Client to promote a Job to be specified by the Client. An Outsourced Messaging Credit can be used twelve (12) months after purchase, after which it expires without the Client being entitled to a refund. |

Promoted company |
Bringing extra attention to a target group specified by the Client, for example by sending more connection requests via the Website, with the aim of increasing the number of Connections of the Client. The Promoted Company feature can be used twelve (12) months after purchase, after which it expires without the Client being entitled to a refund. |

Promoted job credit |
A credit that entitles the Client to use a promoted job ("Promoted Job"), whereby a Job for a period of thirty (30) days is brought to the attention of a specific target group as specified by the Client by, among other things, including it more often in emails to certain Members and displaying it more prominently on the Website. A Promoted Job Credit can be used twelve (12) months after its purchase, after which it expires without the Client being entitled to a refund. |

Promoted job slot |
The possibility to add a Job to a promoted job slot ("Promoted Job Slot") at any time and thereby use it as a "Promoted Job", whereby the concerning Job is brought to the attention of a specific target group as specified by the Client by, among other things, including it more often in emails to certain Members and displaying it more prominently on the Website. It is possible to add one Job per Promoted Job Slot. At any time, the Client can change the Job that has been added to a Promoted Job Slot. |
This Contract commences at the moment it is signed by the Customer and is entered into for either one (1) month or twelve (12) months. The duration of the Contract is defined in the Order Overview under "Products & Services," behind the individual products and/or services by the indication "monthly" if the duration of the contract is one (1) month, and by the indication "annually" if the duration of the contract is twelve (12) months.
If the Customer and Magnet.me so desire, it is possible to deviate from both the commencement date and the duration of this Contract. In that case, the duration, the commencement date, and the corresponding notice period are included in the additional terms and in the Order Overview.
This Contract will automatically be renewed for the same period under the same Conditions, until the Contract is terminated (see article 4.3). In the case of automatic renewal, all Products & Services in consecutive agreements will continue, except for the Products & Services explicitly marked as ‘One-time’ in the Order Overview.
If Magnet.me or the Customer decides not to automatically renew this Contract, the Customer or Magnet.me must notify the other party in writing, observing the agreed notice period. For each Product or Service, a notice period of thirty (30) days before the automatic renewal date applies, unless otherwise agreed.
If this feature is available, the customer can also notify the termination by disabling the automatic renewal for each purchased Product and Service. The Customer can do this under the 'Settings' menu / 'Products' / 'View your products' in the Customer's Magnet.me account. For each Product or Service, the automatic renewal date can be found in the Magnet.me account under ‘Status’ in the 'Products' menu.
For convenience, early termination is possible and permitted, however, the Customer is not entitled to any form of refund.
Magnet.me may terminate this Contract with immediate and unilateral action if the Client does not process Member Data in accordance with the General Data Protection Regulation (GDPR), uses the Website and / or Products & Services for purposes other than the direct recruitment and / or labour market communication for the Client itself or does not meet the obligation as described in Article 5.1.
The Client will pay the fees as stated in the Order Overview within thirty (30) days after receipt of an invoice from Magnet.me.
This Contract shall be governed by and construed in accordance with Dutch law.
All disputes relating to, arising from or related to this Contract will be submitted to the exclusive jurisdiction of the court in Rotterdam.
The Client is not permitted to transfer any rights or obligations arising from this Contract without the explicit consent of Magnet.me.
If any provision of the Contract is judged to be illegal or unenforceable, the continuation in full force and effect of the remainder of the provisions shall not be prejudiced.
If any provision of this Contract is void or voided, Magnet.me and the Client will consult to agree on a new provision to replace the void or voided provision, taking into account as much as possible the purpose and intent of the void or voided provision.
The use of headers in this Contract is for convenience only and should not be used to interpret the terms of this Contract.
