Legal Counsel M&A

Due to the continuous growth of our company, we opened up this great opportunity to join our team.

Your Role:

As Legal Counsel M&A, you'll be an essential member of our M&A team. You will provide broad legal support in connection with mergers, acquisitions and investments, predominantly internationally. You will assist the Director M&A in managing, coordinating and driving M&A transactions from a legal perspective and where possible work independently on transactions. You will provide legal support at all stages of M&A transactions, including performing due diligence (with the support of external advisors), review and drafting definitive transaction documentation. You will work closely with our internal M&A teams, as well as with external advisors and experts. In addition, you will be supporting the IMCD organization with other legal services where needed, such as reviewing commercial agreements.

What are we looking for?

Your qualifications and experiences are the building blocks of your success in this role:

• A Master's in Law or LLM degree with good academic results.
• Around 3-5 years of experience in a reputable internationally-focused law firm or an equivalent in-house counsel position. You should have at least 3 years of direct experience in M&A transactions.
• Strong legal proficiency in commercial law is essential.
• Your background should include hands-on experience with mergers, acquisitions, and investments, allowing you to confidently handle multiple transactions and projects independently.
• Ability to work autonomously, taking ownership and responsibility for your work.
• A problem-solving, pragmatic approach with a keen desire to deliver and grow, coupled with a strong sense of business-oriented thinking.
• A feel for financials and business-related issues is advantageous and experience in diverse cultural and business settings is a plus.
• High integrity, combined with a sharp eye for business and compliance challenges.
• Excellent negotiation, communication (both written and verbal), and drafting skills.
• Good knowledge of Microsoft Office tools.
• Fluent in both English and Dutch, possess an EU work permit/right to work and open to international travel as required.
