Private Equity & Investment Funds

This role is to work jointly across the private equity and funds teams which form part of the wider corporate department. The private equity team consists of 3 partners and 6 associates which has doubled in size in the last 18 months and continues to grow. The Funds team comprises 6 partners and 8 associates. Whilst all associates within the team are actively encouraged to work for a wide range of partners to broaden their experience and expertise across the corporate disciplines; with the emphasis on flexibility of approach and being an "all rounder", there will be an expectation for this role to have a primary focus on private equity investment funds.

This role is therefore expected to be able to advise across a wide range of private equity transactions with a core focus on private equity funds in relation to secondary transactions, co-investments and private fund formation.

The corporate team are given commercial and transactional support by experienced, high quality specialists in banking, commercial contracts, competition, tax, employment and pensions, intellectual property, information technology, intellectual property and financial regulatory issues.

The department runs regular legal training sessions covering the core practice areas listed above as well as associate development centres focusing on 'soft' skills and BD. The ongoing support and development of our associates is regarded as essential to our future growth and success.

Main responsibilities

  •  Clear, concise and unambiguous preparation and drafting of corporate documentation
  •  Conducting legal research using internal and external knowledge management resources
  •  Liaison with clients
  •  Developing own informal internal and external network of contacts
  •  Building excellent working relationships with clients and peers within SH
  •  Attending business development and profile raising events (client seminars, graduate
  • recruitment activities)
  • Attributes / skills required
  •  Investment funds lawyer with experience in M&A
  •  Corporate governance experience should include DTR's and Listing Rules advice as well as
  • practical corporate support, including for example Articles of Association preparation and
  • Annual Report reviews.
  •  Ability and desire to work within a small, but growing, ambitious and entrepreneurial team
  •  Background in a firm with an excellent investment funds reputation
  •  Ability to acquire, consolidate and apply fundamental and up-to-date knowledge of the law
  •  Accuracy and attention to detail
  •  Excellent verbal communication skills
  •  Organised and able to work to strict deadlines with the ability to prioritise realistically
  •  Good housekeeping/file management practices; managing and recording time promptly
